1. Parties
This SaaS Subscription and Use Agreement (the "Agreement") is concluded between;

hereinafter referred to as "TripsControl" or the "Service Provider";
and the natural or legal person merchant, agency, carrier or other commercial user who registers with the TripsControl platform and thereby accepts this Agreement electronically, hereinafter referred to as the "Customer".
The person creating the registration on behalf of the Customer acknowledges and declares that they are authorised to represent and bind the Customer under this Agreement.
2. Subject Matter of the Agreement
The subject matter of this Agreement is the determination of the terms governing the Customer's use of the reservation, transfer operations, vehicle and driver management, financial tracking, reporting, integration, notification, job sharing and other related software services provided by TripsControl over the internet.
TripsControl is a subscription-based SaaS (Software as a Service) product delivered over the internet.
Neither the source code nor the ownership of the software is transferred to the Customer. The Customer is granted only a limited and non-transferable right of use for the duration of its subscription and within the scope of the terms of this Agreement.
3. Account and Authorisation
The Customer accepts that the information it provides upon registration is accurate and up to date.
The Customer is responsible for the management of the users created under its account and of the permissions granted to them.
Ensuring the security of usernames, passwords and other access credentials is the Customer's responsibility.
Should any suspicion of unauthorised access arise, the Customer shall notify TripsControl without delay.
Allowing third parties to use the Customer's account, leasing it, or transferring it to another business without TripsControl's written consent is prohibited.
4. Free Trial
TripsControl may provide a free trial period to users it deems appropriate.
The duration, scope and features of the trial period are subject to the terms displayed to the Customer on the date of registration.
Where a paid subscription is not commenced following the expiry of the trial period, TripsControl may restrict the creation of new transactions, access to certain features or the use of the account.
Repeated accounts may not be created in the name of the same person, company or affiliated business for the purpose of abusing the free trial entitlement.
TripsControl may restrict or terminate the trial entitlement of such accounts.
5. Subscription and Pricing
The following may be taken into account in respect of TripsControl subscription fees:
- the base subscription fee,
- the number of active vehicles,
- the selected plan,
- the additional services used,
- the Customer's registered/billing country,
- campaigns and
- special commercial arrangements, if any
The applicable subscription fee may be determined accordingly.
The Customer commences its subscription by approving the current pricing displayed to it on the purchase or subscription activation screen.
Notwithstanding the general prices shown on the website or in promotional materials, the final price to be applied to the Customer's account is the price expressly displayed before payment.
Taxes and statutory charges may be displayed separately.
6. Changes in the Number of Vehicles
Where the Customer adds a new chargeable vehicle during a subscription period, proportional (pro rata) pricing may be applied for that vehicle according to the remaining subscription period.
For example, where a chargeable vehicle is added after half of a monthly subscription period has elapsed, only the vehicle usage fee corresponding to the remaining period may be collected.
Where a vehicle is deleted or deactivated, the price reduction shall apply, unless otherwise stated, as from the following renewal period.
This provision is intended to prevent abuse of the pricing system by adding and removing vehicles over short periods.
7. Automatic Renewal and Payment
Where the Customer selects the automatic payment method, the subscription may be renewed for the relevant periods unless terminated by the Customer.
The Customer authorises the collection, through the registered payment method, of the amount arising under the subscription and notified on the payment screen or within the system.
The amount to be collected may differ from the previous period on account of the number of vehicles, plan changes, additional services and chargeable changes occurring during the period.
The storage of card details and payment transactions may be carried out through the secure infrastructures of authorised payment institutions and/or banks rather than directly by TripsControl.
TripsControl does not store sensitive payment information such as card numbers and security codes on its own systems beyond the extent necessary.
8. Failure of Payment
Where the subscription fee cannot be collected, TripsControl may afford the Customer an opportunity to pay again.
In the event of non-payment, TripsControl may restrict the entry of new data into the account, disable certain features, or suspend/freeze the account.
Suspension of the account does not mean that the Customer's data will be deleted immediately.
The Customer may reactivate its account by paying its outstanding balance and restarting a valid subscription.
9. Cancellation of the Subscription
The Customer may terminate its subscription from the relevant section of its account or by contacting TripsControl.
Unless expressly stated otherwise, cancellation takes effect at the end of the current subscription period for which payment has been collected.
The Customer may continue to use the service until the end of the current period.
No fee is collected for the new period.
10. Refunds
Subscription fees in respect of which use has commenced and access for the relevant service period has been provided are, as a rule, non-refundable, save in cases where a refund is mandatory under the legislation.
In cases of duplicate collection, technical error, incorrect pricing or other circumstances accepted by TripsControl, a full or partial refund may be made.
Refund requests may be submitted via [email protected].
TripsControl may also make refunds at its own discretion in cases not required under the Agreement, as part of its customer satisfaction approach.
11. Customer Data
The reservation, passenger, driver, vehicle, supplier, customer, financial and other business records entered into TripsControl by the Customer are deemed to belong to the Customer.
The Customer is responsible for obtaining the data it transfers to the system lawfully and for ensuring the legal conditions required for its processing on TripsControl.
The Customer may not transfer to TripsControl any data obtained unlawfully.
TripsControl processes such data for the purposes of the provision, security and improvement of the service, support activities and the fulfilment of obligations arising from the legislation, within the framework of the applicable legislation and personal data protection rules.
12. Passenger and Third-Party Data
Personal data relating to passengers, drivers, personnel or other third parties may be processed by the Customer through TripsControl.
The making of the necessary disclosures and the satisfaction of the legal conditions for processing in respect of the transfer of such data to TripsControl are the Customer's responsibility.
The roles and obligations of the Parties in relation to the protection of personal data may, to the extent necessary, be separately governed by data processing terms or a supplementary protocol.
13. Data Security
TripsControl applies reasonable technical and administrative security measures in order to protect the data held in the system against unauthorised access, loss, alteration or unlawful processing.
However, absolute continuity or absolute security cannot be guaranteed for any online system, on account of the internet infrastructure, third-party services, cyber attacks or events beyond TripsControl's reasonable control.
The Customer is likewise obliged to ensure the security of its own user accounts, devices and access credentials.
14. Integrations and Third-Party Services
TripsControl may operate in integration with payment institutions, banks, SMS providers, map services, flight/data services, public systems and other third-party services.
The discontinuation or modification of such services, changes to their pricing model, the restriction of API access or technical problems originating from third parties are beyond TripsControl's direct control.
Where necessary, TripsControl may change a third-party integration, use an alternative provider, or modify the relevant feature temporarily or permanently.
15. UETDS and Official Systems
Where integration services relating to UETDS or similar official systems are provided by TripsControl, TripsControl provides only the technical transmission and the software infrastructure.
The accuracy of the information entered, the compliance of the transport with the legislation, the possession of the required authorisation certificates and the proper fulfilment of the notification obligation are the Customer's responsibility.
TripsControl cannot be held liable for administrative fines, sanctions or other consequences arising from information entered incorrectly or incompletely by the Customer.
The results generated by TripsControl must be checked by the Customer to the extent necessary.
16. Financial and Accounting Features
The account, income-expense, cost, profitability, collection, payment, reconciliation and similar features offered on TripsControl are software tools intended to facilitate business management.
TripsControl is not a certified public accountancy, independent audit or financial advisory service.
In respect of official accounting records and tax obligations, the Customer must act together with its own certified public accountant or an authorised expert.
17. Artificial Intelligence and Automated Processes
TripsControl may in future use artificial intelligence, machine learning, automated planning, recommendation systems and similar technologies.
Such systems may provide recommendations on matters such as vehicle/driver assignment, operational planning, data classification and reporting, or may carry out automated processes within the scope expressly enabled by the Customer.
It is not guaranteed that the recommendations or results generated by artificial intelligence will be free from error in every case.
Carrying out the necessary checks in transactions capable of giving rise to security, regulatory or material financial consequences is the Customer's responsibility.
18. B2B Job Sharing and Marketplace
TripsControl may offer B2B features enabling Customers to share transfer or transport work with one another.
Unless expressly stated otherwise, TripsControl is not the carrier performing the work nor a party to the transport service; it provides the technological infrastructure that brings the parties together.
The businesses giving and receiving the work are themselves responsible for the price, the scope of the service, the authorisation certificates, the passenger transport legislation, taxes, collection and the actual performance of the service.
TripsControl may in future apply a commission or service fee on job sharing transactions.
Before any such fee is applied, the relevant fee shall be displayed to the Customer.
19. Prohibited Uses
The Customer may not use TripsControl for the purposes of engaging in unlawful activities, organising unauthorised transport activities, accessing another person's account without permission, harming the system, circumventing security mechanisms, collecting data by automated means without permission, carrying out reverse engineering, or attempting to obtain TripsControl's source code or trade secrets.
In cases of serious or repeated breaches, TripsControl may suspend the account or terminate the Agreement.
20. Intellectual Property Rights
The rights in the TripsControl software, its designs, trademark, source code, data models, algorithms, interfaces, documentation and the other intellectual works created by TripsControl belong to SAS Grup Yazılım Reklam Ltd. Şti. and/or to the relevant rights holders.
The Customer's purchase of a subscription does not transfer ownership of these rights.
The Customer may not copy, reproduce, resell or reverse engineer TripsControl, nor unlawfully use TripsControl's protected elements for the purpose of developing a competing product.
21. Updates
TripsControl is a continuously developed software service.
TripsControl may improve or modify existing features or add new features.
Certain features may be changed on account of security, the legislation, technical necessity or changes to third-party services.
In the case of changes materially affecting the essential nature of the service purchased by the Customer, prior notice shall be given to the extent possible.
22. Service Continuity
TripsControl uses reasonable efforts for the service to operate with high availability, but does not guarantee 100% uninterrupted operation.
Temporary interruptions may occur on account of planned maintenance, updates, the internet infrastructure, the data centre, third-party services, cyber attacks, force majeure or other causes beyond TripsControl's reasonable control.
23. Limitation of Liability
Cases of liability arising from TripsControl's intent or gross negligence, or from mandatory provisions of the legislation, are reserved.
Otherwise, TripsControl cannot be held liable for indirect damages arising from the Customer's incorrect data entry, erroneous operational decisions, the discontinuation of third-party services, unauthorised use of the account, or the Customer's activities contrary to the legislation.
24. Freezing of the Account and Retention of Data
Accounts whose subscription has ended or whose payment has not been made may be frozen by TripsControl for a certain period instead of being deleted.
In frozen accounts the creation of new transactions may be restricted, but access to existing data may be maintained within the scope determined by TripsControl.
Data retention periods are determined by taking into account legal obligations, the purposes of data processing and TripsControl's personal data retention and destruction policies.
Following the expiry of the retention period, the data may be deleted, destroyed or anonymised in accordance with the legislation.
25. Price Changes
TripsControl may change subscription prices in future.
Price changes do not affect the current pricing period retrospectively.
Price changes to be applied to existing Customers may be notified within a reasonable period before the new price takes effect.
Should the Customer not wish to accept the new price, it may terminate its subscription before the new period begins.
26. Amendment of the Agreement
TripsControl may update the Agreement on account of changes in the legislation, product features, security requirements or its commercial model.
In the case of material changes, notice may be given to the Customer electronically and, where necessary, separate acceptance of the new Agreement may be requested.
Each version of the Agreement may be stored in TripsControl's systems together with its date and version information.
27. Electronic Records
The Customer accepts that the Agreement may be accepted electronically.
TripsControl may store, in accordance with the legislation, the version of the Agreement or its summary/hash value, the date and time of acceptance, user/account information, the IP address and the necessary technical records, for the purposes of proving the acceptance and of information security.
TripsControl may additionally archive the relevant version of the accepted Agreement text.
28. Notices
Notices to be given by TripsControl may be made to the e-mail address or telephone number registered in the Customer's account, or through the TripsControl panel.
The Customer is responsible for keeping its contact details up to date.

29. Force Majeure
Natural disasters, war, terrorism, general internet or telecommunications outages, acts of public authorities, widespread cyber attacks, data centre outages and similar events occurring beyond the reasonable control of the Parties may be regarded as force majeure.
For the duration of the force majeure event, the affected obligations may be suspended in proportion to the effect of the event.
30. Governing Law and Disputes
This Agreement is subject to the law of the Republic of Türkiye.
Where the Parties are merchants, and without prejudice to mandatory rules of jurisdiction, the Courts and Enforcement Offices of Ankara shall have jurisdiction over disputes that may arise out of this Agreement.
31. Entry into Force
The Customer accepts the Agreement by electronically ticking the option "I have read and accept the TripsControl SaaS Subscription and Use Agreement."
The Agreement enters into force between the Parties on the date on which the electronic acceptance is completed.
